The purpose of this document is to inform you of the terms that apply to your use of the myTorstar employee portal.


MyTorstar Portal Terms of Use


These Terms contain legal obligations and form an agreement between you and Torstar Corporation, and its subsidiaries (collectively, the "Torstar Companies", "we", "us", or "our"). Please read these Terms carefully before accessing or using the myTorstar employee portal (the "Portal"). By accessing or using the Portal, you agree to be bound by these Terms. If you do not agree with these Terms, you are prohibited from accessing or using the Portal.

Access and Use

Subject to your compliance with these Terms, the Torstar Companies grant you a limited, personal, non-exclusive, revocable, non-assignable and non-transferable licence to access and use the Portal via your computer or other personal electronic device, and to download, display, or otherwise access materials made available to you through the Portal ("Materials"). This license is for personal, non-commercial purposes only. No other use is permitted and all other rights not expressly granted in these Terms are reserved. You acknowledge that, as between you and the Torstar Companies, all Materials are the property of the Torstar Companies and are protected, without limitation, by applicable Canadian and foreign copyright, trademark, and other laws. Any unauthorized use of the Portal, or any of the Materials, is strictly prohibited.


Suspension or Termination

Your access to the Portal or to any Materials may be suspended or terminated at any time, in our sole discretion, if we believe you have violated or may violate these Terms. You agree that any such suspension or termination may be effected by the Torstar Companies without prior notice and that we will not be liable to you or to any other person as a result of any such suspension or termination.


Restrictions

You may not access or use, or attempt to access or use, the Portal to take any action that could harm us or a third party. You may not access parts of the Portal which you are not authorized to access. You may not attempt to circumvent any restriction or condition imposed on your use or access, or do anything that could disable or damage the functioning or appearance of the Portal, including the presentation or display of any Materials. You may not:



  • modify or copy any Materials, or reproduce, republish, distribute or otherwise make available any Materials, except as necessary to use such Materials in the manner intended (such as printing out a form for submission to your Human Resources Department);

  • use any Materials for any commercial purpose, or for any public display (whether commercial or non-commercial);

  • attempt to decompile or reverse-engineer the Portal or any software associated with or contained within the Portal; or

  • remove any copyright or other proprietary notations from the Materials.


Registration

You agree to provide accurate, complete and current information about yourself as required by the registration process, and to promptly update such information as necessary to ensure that it is kept accurate and complete.


You agree to be responsible for: (a) maintaining the confidentiality of any password or other account identifier which you choose or are assigned as a result of any registration on the Portal; and (b) all activities associated with such password or account. Further, you agree to immediately notify us of any unauthorized use of your password or account.


Your account is offered for individual use only. Registration is strictly restricted to one account per person. You may not pretend to be someone else or register on behalf of other people. You may not share your registration information with or give your account login credentials to anyone else.


Privacy Statement and Corporate Policies

You acknowledge and agree that the Privacy Statement, as well as any applicable corporate policies (including but not limited to the Code of Business Conduct and the Internet, Email & Electronics Acceptable Use Policy), all as amended and updated from time to time, apply to your use of the Portal.


Confidentiality

Many of the Materials within the Portal constitute the confidential information of the Torstar Companies. You agree to not share Materials with any third party without the prior permission of management.


Disclaimer

The Portal is made available to you for your convenience only. Although we endeavour to keep Materials accurate and up-to-date and to correct any errors brought to our attention, Materials may include technical, typographical, or other errors. All Materials within the Portal and the Portal itself are provided on an "as is" basis, with no representation, guarantee, or warranty of any kind. We may make changes to Materials at any time without notice. If you need assurances that any particular information is complete or up-to-date, please consult with the relevant department within the applicable Torstar Company, and do not solely rely on information contained within the Portal.


The Portal and the Materials may contain links or references to other sites, services, offerings or applications that are not controlled or offered by the Torstar Companies. The inclusion of a link does not imply endorsement by us. If you decide to visit any linked site, service, offering or application, you do so at your own risk, and it is your responsibility to take all protective measures and to guard against viruses and other destructive elements and any collection, use and disclosure of your personal information through such site, service, offering or application.


Limitations

To the fullest extent permitted by law, under no circumstances (including negligence) shall any of the Torstar Companies or their respective service providers or representatives be liable for any damages, loss, cost, expense, or liability of any kind arising out of or related to the Portal or any Materials, your access to or use of the Portal or any Materials, or your inability to access or to use the Portal or any Materials.


Changes to these Terms

We reserve the right, in our sole discretion, to change these Terms at any time. Please check back regularly for updates by checking the date of the last update above. By accessing or using the Portal, you agree to be bound by the then-current version of these Terms. Your continued use of the Portal following the posting of amended Terms will mean you accept those changes. We reserve the right to modify, suspend, remove or discontinue the Portal or any Materials, in whole or in part, from time to time or at any time, without notice or liability and for any reason whatsoever.


Governing Law

These Terms are governed by Ontario law, without regard to any conflict of law provisions.
